Definitions

In this Agreement, the following terms have the meanings given: "Client" means {{CLIENT_LEGAL_NAME}}; "Vendor" means {{VENDOR_LEGAL_NAME}}; "Effective Date" means {{EFFECTIVE_DATE}}; "SOW Effective Date" means, for a particular SOW, the effective date stated in that SOW, or if the SOW does not state one, the date the last party signs that SOW; "Services" means the services described in the applicable SOW; "Deliverables" means the work product Vendor is to deliver under the applicable SOW; "SOW" means a statement of work executed by the parties that incorporates these terms; and "Acceptance" has the meaning given in USI_COM_ACC; "Personnel" means Vendor's employees, officers, and individual contractors and freelancers engaged by Vendor to perform any part of the Services; and "Subcontractor" means any third party (including any entity and its personnel) engaged by Vendor to perform any portion of the Services, and references to "Personnel" include the personnel of any Subcontractor for purposes of the intellectual-property and confidentiality obligations of this Agreement. Headings are for convenience only. References to a statute include its rules and amendments. Words in the singular include the plural and vice versa.
