Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Worql, Inc., a Delaware corporation ("Worql," "we," "us," or "our"), governing your access to and use of the Worql website at worql.app and the SOW-generation services available there (collectively, the "Service").

By creating an account, clicking "I agree," or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The service in brief

Worql is a software-as-a-service tool that helps US founders and operators draft, review, and export Statements of Work for technical engagements, especially those involving Indian counterparties. The Service uses our hand-authored clause library combined with large-language-model assistance (via the Anthropic API) to produce SOW drafts tailored to your inputs.

Worql is not a law firm. The drafts produced by the Service are informational templates, not legal advice. Use them as a starting point and have them reviewed by a qualified attorney in the relevant jurisdictions before signing or relying on them.

3. Account, eligibility, acceptable use

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for everything that happens under your account, including any user you authorize, and for keeping your credentials confidential.

Your use of the Service is also subject to our Acceptable Use Policy at /aup, which is incorporated into these Terms. Violating the AUP is a material breach of these Terms.

4. Plans, fees, billing

The Service is offered on the plans below. Current plan names, prices, and included limits are shown on our pricing page, which governs in the event of any discrepancy with this summary:

• Starter — $0/month. 1 active engagement and 1 Statement of Work generation in total (lifetime), on the Starter and Standard document tiers.
• Standard — $190/month. Up to 3 active engagements and 10 SOW generations per month; change orders and amendments, Quote Guard vendor reviews, milestone review, DOCX export, and the full clause library (including the Airtight document tier).
• Airtight — $399/month. Everything in Standard, with up to 10 active engagements and unlimited SOW generations and Quote Guard reviews.
• Agency — $999/month. Everything in Airtight, with unlimited active engagements.

SOW generation may also be subject to fair-use rate limits to protect Service availability.

Fees are billed by Stripe in US dollars, exclusive of taxes. You authorize us (through Stripe) to charge your payment method on the cycle stated on the pricing page until you cancel. Paid plans are billed monthly and renew automatically until you cancel.

Refunds. We offer a full refund within seven (7) days of your first charge for any new paid plan if you have not generated more than one (1) SOW after the upgrade. Refunds after seven days are at our discretion and generally limited to billing errors. Pro-rata refunds for material sub-processor changes are described in our Privacy Policy.

Cancellation. You may cancel at any time from the Stripe customer portal accessible via the in-app settings page. Cancellation takes effect at the end of the then-current billing period; you retain access until then.

Plan limits and rate limits. We enforce plan caps and per-day rate limits as documented above and on the pricing page. Hitting a limit results in a clear in-app upgrade prompt, not a silent failure.

5. Your content

You retain all rights, title, and interest in the content you put into the Service ("Your Content") — including project briefs, intake answers, generated SOW bodies, and exports. You grant Worql a worldwide, royalty-free, non-exclusive license to host, transmit, display, and process Your Content solely to operate, support, and improve the Service for you, and to comply with law. We do not use Your Content to train AI models and we do not share it with anyone except the sub-processors listed in our Privacy Policy and only as needed to deliver the Service.

You represent and warrant that you have the rights to provide Your Content to us, that it does not violate the AUP, and that processing it through the Service does not infringe any third party's rights.

6. Worql IP

The Service, including the clause library, prompts, templates, code, UI, and brand, is the property of Worql, protected by US and international copyright, trademark, and trade-secret law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription. You may not copy, modify, reverse-engineer, scrape, or resell the Service or its outputs as a competing service. SOW outputs produced for you are yours to use within your business, including with your clients and vendors.

7. AI outputs disclaimer

The Service uses generative-AI techniques to produce drafts. AI outputs may contain errors, omissions, outdated references, or jurisdictionally inappropriate language. You are solely responsible for reviewing AI outputs for accuracy and suitability before relying on them in any real-world transaction. Worql expressly disclaims any representation that AI outputs are accurate, fit for purpose, or compliant with the law of any jurisdiction.

8. Confidentiality

To the extent you share confidential information with us (project briefs, counterparty information, deal terms), we will protect it with reasonable care and use it only to deliver the Service. The Privacy Policy and DPA describe our practices in detail.

9. Service availability

We aim for high availability but do not commit to a specific uptime percentage on FREE or PRO plans. Planned maintenance windows, third-party provider incidents (Clerk, Anthropic, Stripe, Neon, Upstash, Vercel, Resend), and force-majeure events may cause downtime. Status updates are posted in-app or at our status URL when available.

10. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WORQL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR FIT FOR ANY PURPOSE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WORQL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WORQL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WORQL'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS AND THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID WORQL IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

The limitations in this Section apply to the fullest extent allowed by law and survive termination. They allocate risk under these Terms and are a material basis on which Worql provides the Service at the prices set out.

12. Indemnity

You will defend, indemnify, and hold harmless Worql, its officers, employees, and contractors from and against any third-party claim arising from (a) Your Content, (b) your use of the Service in violation of these Terms or the AUP, or (c) your violation of applicable law in connection with the Service. We will promptly notify you of any covered claim and cooperate at your expense in its defense.

13. Termination

You may stop using the Service at any time and may delete your account from settings. We may suspend or terminate your account immediately if you materially breach these Terms or the AUP, fail to pay, or use the Service in a way that creates legal or security risk. Sections 5 (Your Content), 6 (Worql IP), 8 (Confidentiality), 10–12, 14, and 15 survive termination.

14. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Any dispute that the parties cannot resolve through informal good-faith negotiation within 30 days will be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre ("SIAC") under the SIAC Rules in force at the time of the notice. The seat of arbitration is Singapore. There will be one arbitrator. The language is English. The arbitrator may grant any remedy available under Delaware law; judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information pending arbitration.

Class-action waiver. To the maximum extent permitted by law, you and Worql each waive any right to bring or participate in a class, collective, or representative action against the other.

15. Miscellaneous

These Terms, together with the Privacy Policy, Cookie Policy, AUP, and DPA (where executed), constitute the entire agreement between you and Worql about the Service and supersede any prior agreement. Failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to Worql go to legal@worql.app; notices to you go to the email address on your account.

We may revise these Terms from time to time. Material changes will be notified at least 14 days before they take effect, by email and in-app. Continuing to use the Service after the effective date of revised Terms means you accept them.
