Anti-Corruption Compliance

Each party shall comply with applicable anti-corruption laws, including the U.S. Foreign Corrupt Practices Act and the Indian Prevention of Corruption Act, in connection with this Statement of Work. Neither party shall offer, promise, authorize, solicit, or accept any bribe, kickback, facilitation payment, improper gift, or anything of value intended to influence a government official, customer, vendor, or other person improperly. Vendor shall maintain accurate books and records relating to the Services, promptly notify Client of any suspected violation involving the Services, and cooperate reasonably with any compliance review. A material breach of this section is grounds for immediate termination.
