Assignment

Neither party may assign this Statement of Work, in whole or in part, without the prior written consent of the other party, except that either party may assign this Statement of Work without consent to a successor in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee assumes all obligations hereunder. Any purported assignment in violation of this section is void.
