Dispute Resolution (To Be Agreed)

The parties shall first attempt in good faith to resolve any dispute arising out of or in connection with this Statement of Work through direct negotiation for {{NEGOTIATION_PERIOD_DAYS}} days. If the dispute is not resolved within that period, the parties shall agree in writing on a mutually acceptable arbitral institution, seat, and language of arbitration before commencing any formal proceeding. Absent such agreement, either party may seek resolution in the courts having jurisdiction under the Governing Law section.
