Independent Contractor Relationship

Vendor is engaged as an independent contractor and not as an employee, agent, partner, or joint venturer of Client. Neither party has authority to bind the other or to create any obligation on behalf of the other. Vendor is solely responsible for its own taxes, insurance, benefits, and compliance with applicable labor laws in its jurisdiction of operation. Nothing in this Statement of Work shall be construed to create an employment relationship between Client and any personnel of Vendor.
