Intellectual Property

Upon receipt of payment for the relevant Deliverable, Vendor hereby irrevocably assigns to Client all right, title, and interest, worldwide, in and to the Work Product, including all copyrights, patents, trade secrets, and other intellectual property rights therein. "Work Product" means all software, source code, object code, documentation, designs, specifications, data, and other materials created by Vendor specifically for Client under this Statement of Work. Vendor waives all moral rights in the Work Product to the fullest extent permitted by applicable law, including under the Indian Copyright Act, 1957. Vendor shall execute any further documents reasonably required to perfect this assignment.
