Vendor Background IP

Vendor retains ownership of its pre-existing tools, libraries, frameworks, and general know-how used in performing the Services ("Vendor Background IP"). To the extent any Vendor Background IP is incorporated into the Work Product, Vendor grants Client a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute such Vendor Background IP solely as embedded in the Work Product. Vendor shall not incorporate any third-party code into the Work Product that would impose copyleft or similar obligations on the Work Product without Client's prior written consent.
