Key Personnel

Vendor shall identify any lead architect, technical lead, project manager, or other key personnel assigned to the Services in the project plan or onboarding materials. Vendor shall not remove or materially reduce the availability of key personnel without reasonable prior notice to Client, except for resignation, illness, termination for cause, or circumstances outside Vendor's reasonable control. Any replacement must have substantially equivalent skills, context, and availability, and Vendor shall bear the transition cost needed to onboard the replacement without materially disrupting the timeline.
