Clause body

If Vendor misses a milestone delivery date by more than ten (10) business days for reasons within Vendor's reasonable control, Client may apply a service credit equal to {{CREDIT_RATE}} of the fees allocated to the delayed milestone for each full week of delay, capped at {{CREDIT_CAP}} of that milestone's fees. The parties agree that these credits are a reasonable pre-estimate of administrative and business disruption caused by delay, not a penalty, and Client's right to credits does not limit Client's termination rights for material breach.
