Termination for Cause

Either party may terminate this Statement of Work for cause upon written notice if the other party (a) materially breaches this Statement of Work and fails to cure such breach within {{CURE_PERIOD_DAYS}} days after written notice describing the breach, or (b) becomes insolvent, files for bankruptcy, or makes a general assignment for the benefit of creditors. Upon termination for cause by Client, Vendor shall deliver all completed and in-progress Work Product to Client, and Client shall pay for all Deliverables accepted prior to the termination date.
