Termination for Convenience

Client may terminate this Statement of Work for convenience upon {{NOTICE_PERIOD_DAYS}} days' prior written notice to Vendor. Upon such termination, Client shall pay Vendor for (a) all Deliverables accepted prior to the termination date, and (b) the pro-rata portion of the fees for the in-progress milestone, calculated based on work performed in good faith up to the termination date. Vendor shall deliver all completed and in-progress Work Product to Client upon receipt of such payment.
