Vendor Personnel and Labor Compliance

Vendor is solely responsible for the hiring, supervision, compensation, benefits, registrations, tax withholding, workplace policies, and labor-law compliance of its personnel and subcontractors, including compliance with applicable Indian labor and wage laws. Vendor shall not represent that its personnel are employees, agents, or contractors of Client, and shall indemnify Client against third-party claims arising from Vendor's failure to pay wages, statutory benefits, taxes, or similar personnel obligations. Client may reject any personnel who create a security, confidentiality, conflict-of-interest, or performance risk, provided Client acts reasonably and in good faith.
